DualityBio Partners with Genentech in $1B-Plus Next-Generation ADC Collaboration Built Around Novel Payload Platform

China’s Duality Biotherapeutics has signed a global research, development and licensing agreement with Roche’s Genentech to develop a new generation of antibody-drug conjugates designed to overcome resistance to payloads used in today’s approved ADCs.

Under the agreement announced on August 28, Duality Biotherapeutics (HKEX: 9606) and Genentech, a member of the Roche Group, will develop ADCs for selected oncology indications using DualityBio’s proprietary DUPAC novel-payload platform.

The collaboration was formally signed on August 27, 2026. DualityBio will receive $45 million upfront and is eligible for more than $1 billion in aggregate development, regulatory and commercial milestone payments across the collaboration programs, plus tiered royalties on annual net sales of products resulting from the alliance.

The deal is significant not only for its potential financial value, but also because Genentech is partnering around DualityBio’s payload technology platform rather than simply licensing an existing clinical-stage ADC.

The agreement combines DualityBio’s ADC discovery, payload-engineering and early clinical-development capabilities with Genentech’s global oncology development and commercialization infrastructure.

DualityBio Leads Development Through Phase 1a

The companies have established a clear division of responsibilities.

DualityBio will lead discovery and early global clinical development of ADC candidates generated under the collaboration. This includes taking collaboration programs through Phase 1a clinical development.

Once Phase 1a is completed, Genentech will obtain responsibility for the next stage of development.

Genentech receives an exclusive worldwide license to the resulting ADCs and will assume sole responsibility for subsequent clinical development and global commercialization.

In practical terms, the development model looks like:

The structure allows DualityBio to apply its discovery and early clinical-development infrastructure while transferring the considerably greater costs of global late-stage development to Genentech.


DUPAC Targets a Growing Problem in ADC Development: Payload Resistance

The technological centerpiece of the partnership is DUPAC — DualityBio Unique Payload Antibody Conjugate.

DUPAC is one of four proprietary ADC technology platforms developed by DualityBio and was specifically designed to explore payload mechanisms beyond the conventional cytotoxic payload classes that dominate today’s commercial ADC landscape. (Duality Biologics)

That distinction is becoming increasingly important.

Many successful ADCs currently use a relatively small number of cytotoxic payload classes. Topoisomerase-I inhibitors, in particular, have become central to several major ADC franchises.

But as these medicines move into earlier lines of cancer treatment and become more widely used, a new clinical problem is emerging: what happens when tumors progress after exposure to a particular ADC payload class?

Tumor cells can develop mechanisms that make them less responsive not only to the antibody component but also to the cytotoxic payload itself. This raises the possibility that switching to another ADC carrying a similar payload may provide limited benefit in some patients.

DualityBio designed DUPAC specifically with this challenge in mind.

In its HKEX announcement, the company said the platform represents a family of novel-mechanism payloads intended to overcome payload resistance and potentially expand the range of tumor biology addressable by ADCs.

Moving Beyond Topoisomerase-I Payloads

DualityBio’s DUPAC platform currently includes several proprietary payloads, notably:

Importantly, DualityBio states that DUP5, DUP9 and DUP10 operate through distinct antitumor mechanisms.

Preclinical studies involving DUP5- and DUP9-based ADCs have shown activity in tumor models that are relatively insensitive to topoisomerase-inhibitor payloads. Non-human primate tolerability data have also been generated.

Results have been presented at several scientific meetings, including AACR 2025, the 2025 AACR-NCI-EORTC International Conference and AACR 2026.

The company says DUPAC therefore has the potential to address resistance to DXd and other TOP1 inhibitor-based ADCs, although this proposition still needs to be demonstrated clinically. (Duality Biologics)


Four ADC Technology Platforms

The Genentech deal also highlights how DualityBio has evolved from an individual-asset ADC developer into a broader ADC technology company.

DITAC — Established TOP1 ADC Platform

DITAC represents DualityBio’s more established topoisomerase inhibitor-based ADC technology.

The platform incorporates proprietary payloads including P1003 and P1021 and has been used to generate several of DualityBio’s clinical-stage oncology candidates.

According to DualityBio, DITAC-derived programs have accumulated clinical experience across the United States, China, Europe, Australia and other markets. (Duality Biologics)

DIBAC — Bispecific ADCs

DIBAC is DualityBio’s bispecific ADC platform.

By incorporating two binding specificities into a single ADC, the approach seeks to improve tumor selectivity, increase payload delivery and potentially exploit biological interactions between two targets.

DIMAC — ADCs Beyond Oncology

DIMAC represents another unconventional extension of ADC technology.

Rather than delivering highly cytotoxic cancer payloads, DIMAC is designed to deliver immune-modulating payloads selectively to disease-associated cells, potentially allowing ADCs to be used in autoimmune and inflammatory diseases.

DualityBio describes the approach as a type of targeted “smart steroid” strategy intended to achieve potent anti-inflammatory activity while reducing systemic exposure. (Duality Biologics)

DUPAC — Novel Payload Mechanisms

DUPAC represents what DualityBio describes as the third wave of its ADC development strategy.

Rather than changing only the antibody or target, DUPAC attempts to redesign one of the fundamental components of an ADC—the payload itself.

The company believes novel payload mechanisms could allow ADCs to remain effective in tumors that have become resistant or refractory to existing ADC payload classes. (Duality Biologics)


Why Genentech May Be Interested in Novel ADC Payloads

The ADC field has expanded dramatically, but its success has also created a new challenge.

Major approved ADCs increasingly rely on topoisomerase-I inhibitor payloads. As these drugs move into earlier treatment settings, more patients will eventually reach later lines of therapy already exposed to TOP1-based ADCs.

That creates demand for a new generation of ADCs capable of circumventing acquired payload resistance.

The Genentech collaboration is therefore effectively a bet on a post-TOP1 ADC treatment landscape.

Rather than developing another ADC carrying a variation of a currently validated payload, the companies intend to explore payloads with different mechanisms of action.

DualityBio said the objective is to address the growing unmet need among patients whose tumors become resistant or refractory to payload classes used by currently approved ADCs.

Industry reporting similarly characterized the collaboration as an effort to develop ADCs for patients whose cancers progress after current ADC treatments, particularly those involving topoisomerase payloads. (Endpoints)


Genentech Adds Another ADC Technology Partnership

The agreement also expands Genentech and Roche’s activity in the rapidly evolving ADC sector.

For Genentech, partnering with DualityBio provides access to:

Novel payload chemistry through DUPAC;

ADC design and conjugation capabilities developed across DualityBio’s broader platform;

China-based discovery and early-development infrastructure capable of moving programs rapidly into first-in-human studies; and

A pipeline-generation model, rather than dependence on a single licensed molecule.

That last point is particularly important.

The collaboration covers multiple ADC programs, and the potential milestone consideration of more than $1 billion applies across those programs collectively.


Another Validation of DualityBio’s Global Partnering Model

The Genentech transaction adds another major pharmaceutical company to DualityBio’s growing roster of international collaborators.

The Shanghai-based ADC developer has previously entered partnerships involving BioNTech, GSK and BeOne Medicines, among others.

Those earlier partnerships helped validate DualityBio’s TOP1-based DITAC technology and individual ADC candidates. The Genentech transaction is strategically different because it centers on the newer DUPAC platform and its novel payload mechanisms. (Fierce Biotech)

DualityBio currently reports a pipeline of 12 internally discovered ADC candidates, including seven clinical-stage ADCs, two next-generation bispecific ADCs and an ADC targeting autoimmune disease. The company is conducting global development across more than 17 countries and says more than 2,000 patients have been enrolled across its clinical programs. (Duality Biologics)


Strategic Significance

The agreement represents an important validation of DualityBio at the technology-platform level.

Earlier ADC licensing deals across China’s biotechnology sector have frequently centered on individual molecules—an international pharmaceutical company identifies a promising Chinese clinical asset and licenses overseas rights.

The Genentech-DualityBio arrangement follows a different model.

Genentech is gaining access to ADCs to be created and advanced under a collaboration using DualityBio’s proprietary payload platform, with DualityBio responsible for taking those programs through early clinical proof of concept.

That means the value being tested is not simply whether one DualityBio drug works.

It is whether the company’s payload-discovery engine can repeatedly generate differentiated ADCs.

If DUPAC candidates demonstrate meaningful clinical activity in tumors previously treated with TOP1-based ADCs, the platform could address an increasingly important segment of the oncology market as ADC use expands into earlier treatment lines.

For DualityBio, meanwhile, the structure preserves a meaningful role in discovery and early development while limiting its exposure to the enormous cost of global pivotal trials and commercialization.

The company receives $45 million immediately, retains potential access to more than $1 billion in aggregate milestone payments, and could generate recurring royalties if any resulting products ultimately reach the market.

The agreement therefore reinforces DualityBio’s emerging position not simply as a developer of individual ADC drugs, but as an ADC technology platform company supplying multiple generations of antibody, linker and payload innovation to global pharmaceutical partners.

And as the first generation of widely used TOP1-based ADCs creates a growing population of ADC-experienced patients, the industry’s next competitive frontier may increasingly shift from which tumor antigen to target toward a second question:

What payload should the next ADC deliver?

For Genentech and DualityBio, the DUPAC collaboration is a billion-dollar-plus bet that novel payload mechanisms could provide part of the answer.
